Terms of Service
These terms describe how we work together. They are a starting template and should be reviewed by your legal adviser before publication.
Our role
SEBA SOURCING acts as your sourcing agent in China. We identify, verify and coordinate manufacturers on your behalf. Unless expressly agreed in writing, we are not the manufacturer or the seller of the goods.
Quotations
Quotations are based on the specification and quantity supplied at the time of enquiry and are valid for the period stated. Factory pricing, material costs and freight rates can change; revised specifications require a revised quotation.
Fees and payment
Our service fee or agreed commission is confirmed in writing before work begins. Payments to manufacturers are made against a proforma invoice, typically as a deposit and a balance released after inspection.
Quality and inspection
Inspections are carried out against the written specification and AQL levels agreed with you. Sampling inspection is statistical and cannot guarantee that every individual unit is free of defects.
Lead times and delivery
Lead times are estimates given in good faith by the manufacturer and freight provider. We are not liable for delays caused by factories, carriers, customs authorities, weather or events outside our reasonable control.
Intellectual property
You confirm that you hold the rights to any designs, trademarks or artwork you supply. We will require confidentiality undertakings from manufacturers where you ask us to do so.
Compliance
You are responsible for confirming that the goods may lawfully be imported into, and sold within, your destination market. We can assist with certification and testing, but the final compliance obligation rests with the importer of record.
Liability
Our liability in connection with any order is limited to the service fee received for that order, except where liability cannot lawfully be limited.
